David Green represents businesses, their owners and senior executives on matters of corporate governance, operations, finance, acquisitions and dispositions, contract negotiation, tax, estate and wealth planning, and business succession. With 30 years of focused experience, David regularly serves as outside general counsel to multiple national, regional and Southeastern-based businesses, addressing legal and strategic planning issues throughout their life cycles. In early stages, he assists in structuring business entities to maximize liability protections and tax efficiencies, while at the same time providing a platform for strategic internal growth. A large part of David’s practice is focused on mergers and acquisitions, both buy and sell side, as well as internal succession planning. He regularly counsels his clients on daily operating issues, including executive employment, restrictive covenant and other employment matters; represents them through capital raises, both equity and debt, and regularly negotiates and documents complex commercial contracts on clients’ behalf. Additionally, David frequently applies his knowledge and experience in tax and wealth planning to the negotiation of prenuptial agreements and the resolution of complex financial issues in divorce cases.
Earlier in his career, David served as chief operating officer, chief financial officer and general counsel for a closely held group of businesses in the manufacturing, real estate and residential construction industries.
Originally from Springfield, Massachusetts, David was raised in central New Jersey. He graduated from Lafayette College with honors in Political Sociology in 1985 and received his JD and MBA, both with honors, from Emory University in 1989. At Emory, David served as an editor of the Emory University Law Journal and earned membership to both the Order of the Coif and the Beta Gamma Sigma honor fraternity.
